RespireSoft

Terms of service

Terms of service

The agreement for using our website, our software products and our development services, in plain words.

Last updated 20 October 2026

The short version

  • These terms cover respiresoft.com, our products that have no terms of their own, and our development work unless a signed agreement says otherwise.
  • You see the price before you pay. Subscriptions renew until you cancel, and you can cancel any time.
  • Custom software you pay for in full is yours.
  • What you put into our products stays yours and never trains AI models.
  • Wyoming law applies, and consumers keep the protections of their own country.

The agreement

These terms are between you and Respiresoft LLC, a Wyoming limited liability company at 32 N Gould St, Sheridan, WY 82801, United States(“RespireSoft”, “we”, “us”). By using our website, products or services, or by paying us, you agree to them.

If you accept them for a company or other organisation, you confirm you may bind it, and “you” means that organisation.

Which terms apply

Where documents disagree, the first one in this list wins:

  • A written agreement, proposal or order form signed or accepted by both of us.
  • A product’s own terms, for that product. Today these are nerix.ai, Sabt, Parvaz, DineHarbor and RespireCloud.
  • These terms, which cover everything else.

Our privacy policy and refund and cancellation policy are part of these terms.

What we offer

  • Custom software development, design and technical consulting.
  • Hosting, maintenance and support plans for software we build or look after.
  • Our own software products: web and mobile apps sold as subscriptions, one-off purchases or prepaid credits.
  • Free products, such as LiveCall video meetings.

Accounts

Give accurate details when you sign up and keep them current. Keep your sign-in details to yourself; you are responsible for what happens under your account. You must be old enough to make a binding contract where you live, or use our products with a parent’s or guardian’s permission where the product allows it. Tell us straight away at info@respiresoft.com if you think someone else is using your account.

Prices, payment and taxes

Prices are shown before you pay, in the currency shown. Taxes are added where the law requires. Payments are taken by Stripe, HesabPay, or Apple and Google for purchases made through their app stores. By paying, you authorise us to charge your payment method for what you bought and, for subscriptions, for each renewal until you cancel.

If a payment fails, we tell you and try again. If it still is not paid, we may pause the paid features until it is. We change prices only with at least 30 days’ notice by email or in the product. A new price applies from your next renewal, never to a period you have already paid for, and you can cancel before it applies.

Subscriptions and renewals

Subscriptions are paid in advance for the period you choose and renew automatically at the end of each period until you cancel. You can cancel at any time; you keep what you paid for until the end of the current period and are not charged again. How to cancel, and when we refund, is on the refund and cancellation page.

Credits and prepaid usage

Some products sell credits that pay for usage, such as AI requests. Credits are a prepaid right to use the product. They have no cash value and cannot be transferred, sold or exchanged for money, except as our refund policy or the law provides. How long they last is shown when you buy them. Every credit spent is recorded, and you can see your usage in the product.

Custom software projects

When you hire us to build software, and unless our written agreement says otherwise:

  • Scope: the work, price, timeline and milestones are set out in a written proposal or agreement. Changes to the scope are agreed in writing and may change the price or the timeline.
  • Invoices are due within 14 days. We may pause work while an invoice is overdue, after telling you.
  • Your part: you give us the access, content and decisions the work needs, on time. Delays on your side move the timeline.
  • Acceptance: review each delivery and tell us in writing within 10 business days anything that does not match what we agreed. After that, the delivery counts as accepted.
  • Fixes: anything that does not work as agreed and is reported within 30 days of acceptance, we fix at no charge. New features, changes of mind and changes caused by third-party services are new work.
  • Ownership: once you have paid in full, you own the code, designs and content we created specifically for you. We keep our own tools, libraries and know-how that existed before or apart from your project, and you get a permanent, royalty-free licence to use whatever part of them is in your software. Open-source components stay under their own licences.
  • Confidentiality:each of us keeps the other’s non-public information confidential and uses it only for the project. We sign an NDA on request.
  • Portfolio: we may name you as a client and describe the project in general terms, unless you ask us not to.
  • Hosting and maintenance after delivery are separate services, billed as agreed.

Acceptable use

Do not use our website, products or services to:

  • break the law or help anyone else break it;
  • infringe anyone’s intellectual property, privacy or other rights;
  • send spam, malware or anything deceptive;
  • get into accounts, data or systems that are not yours;
  • probe, overload or disrupt our systems, or reverse engineer our products except where the law allows it;
  • resell or share access to our products without our written permission;
  • create harmful or illegal content with our AI features, or make decisions with legal or similarly serious effects on people from AI output without a person reviewing them;
  • do anything that breaks United States or other applicable sanctions or export laws.

We may suspend access that breaks these rules, and we will tell you why.

Your content

What you put into our products stays yours. You give us only the permission we need to store, process and show it in order to provide the product to you. You are responsible for having the right to use what you upload. We may remove content that breaks these terms or the law. We never use your content to train AI models.

AI features

AI output is produced by models and can be wrong, incomplete or out of date. Check it before you rely on it. It is not legal, financial, medical or other professional advice, and you are responsible for how you use it.

Other companies' services

Our products use other companies’ services, such as payment providers, app stores, AI providers and integrations you choose to connect. Their own terms apply to their part, and we are not responsible for services we do not control.

Our software and brand

Our products, website and brand belong to us. We give you a personal, non-exclusive right to use our products while you follow these terms and, for paid products, while you have paid for them. If you send us ideas or feedback, we may use them freely.

Availability and changes

We work to keep our products running, but we do not promise they will never be interrupted unless a written support agreement says so. We may change, improve or discontinue features. If we discontinue a paid product or feature, we refund the unused part of what you paid for it.

Disclaimers

Apart from what these terms or a written agreement promise, our website, products and services are provided “as is” and “as available”, to the extent the law allows. This does not affect any rights you have as a consumer that cannot be excluded.

Limitation of liability

To the extent the law allows, neither of us is liable to the other for indirect or consequential loss, or for lost profits, revenue or data. Our total liability for any claim is limited to what you paid us in the 12 months before it arose, or US$100 if you paid nothing. Nothing in these terms limits liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.

Indemnity

If you use our products or services for a business, you will cover our reasonable costs of claims brought by others because of your content or because you broke these terms or the law.

Suspension and ending

You can stop using our products at any time. We may suspend or close an account for serious or repeated breaches of these terms, for non-payment, or where the law requires it, with notice where that is reasonable. When an account closes, you can export your data where the product offers it, and we delete it as our privacy policy describes. Parts of these terms that by their nature should last, such as payment, ownership and liability, continue after the end.

Governing law and disputes

These terms are governed by the laws of the State of Wyoming, United States. Disputes belong to the state and federal courts for Sheridan County, Wyoming.

Before going to court, write to us at info@respiresoft.com and give us 30 days to put things right; most problems are solved that way. If you are a consumer, you keep the protections of the law where you live and may bring a claim in your local courts.

General

These terms, with any written agreement between us, are the whole agreement about their subject. If part of them cannot be enforced, the rest still applies. Not enforcing a right straight away does not waive it. You may not transfer your rights under these terms without our consent; we may transfer ours as part of a reorganisation or sale of our business. Neither of us is responsible for delays caused by events outside reasonable control. Notices to you go to the email address on your account; notices to us go to info@respiresoft.com.

Changes to these terms

When these terms change, the date at the top changes with it. If a change matters, we tell customers by email or in the product at least 30 days before it takes effect. If you do not agree, you can stop using the product and cancel before then.
